Our terms of service

These terms below are valid for all actual and future business relationships with Newport Farmer Ltd.

TERMS & CONDITIONS OF SALE

1. ORDERS: All goods offered and orders are accepted subject to availability of the produce from our suppliers. Safe arrival reserved.


2. RETURNS: Goods will not be accepted for return without prior agreement. Buyer will have the right to inspect the goods but all claims for damaged goods must be notified to the company in writing (email is acceptable) within 24 hours of delivery. Buyer must specify the basis of the claim in detail. Failure of buyer to comply with these conditions will constitute irrevocable acceptance of the goods by the Buyer.


3. SHORTAGES: All goods must be signed for on receipt of delivery. All claims for shortages must be made at the time of delivery by highlighting on the delivery or release note, but also must be notified to the company within 12 hours.


4. PRICING: All prices as per contract agreement.


5. PAYMENT TERMS: As per contract agreement. In the event of an overdue invoice the company reserve the right to withhold further supplies.

More About Us

Further Damages

The right to claim further damages is reserved. Should any payment be refused or returned from the bank, any bank charges incurred will be debited to the customer’s account. In accordance with the Late Payment of Commercial Debts (Interest) Act 1988 the company reserve the right to charge interest at the Bank of England base rate plus 8% on all overdue invoices. Acceptance of any sales order confirmation will be taken to signify acceptance of these terms and conditions of sale by the customer. Any deterioration in the client’s solvency or non-compliance of agreed payment terms gives Newport Farmer Ltd the right of changing payment terms. The Newport Farmer Ltd reserves the right to offset any monies due to the customer against all monies due by the customer to Newport Farmer Ltd

Liability clauses

6. RISK & OWNERSHIP: All risk in the goods passes to the purchaser on delivery or release that the goods are available. Ownership of the goods delivered shall remain vested in Newport Farmer Ltd until payment has been received in full.


7. INDEMNITY: The buyer undertakes to indemnify Newport Farmer Ltd against third-party claims on any grounds whatsoever in connection with the goods delivered by the company, particularly on grounds of personal injury or death.


8. FORCE MAJEURE: In the event of force majeure being a non-imputable failure of the Newport Farmer Ltd in the fulfilment of its obligations they may, without liability, delay or postpone performance, or cancel this Contract on account of force majeure events or circumstances beyond their control including but not limited to, strikes, acts of God, political unrest, terrorism, embargo, failure of source of supply, or casualty.

9. GENERAL PROVISIONS


Additional terms

a) Newport Farmer Ltd reserves the right to pursue all overdue invoices by whatever legal means deemed necessary, or by passing the debt to a Debt Recovery Service, or by any other appropriate means, without prior reference to the debtor including the right to offset monies due to the debtor against monies due by them to Newport Farmer Ltd.


b) These terms and conditions govern the contract and any variations should be agreed in writing between Newport Farmer Ltd and the customer. This contract is exclusively governed by the provisions of English Law and any dispute where necessary dealt with in the courts of England.


c) If Newport Farmer Ltd does not insist upon or enforce strict performance of any provision of the contract this shall not mean that the company waive their rights under that provision.


10 LIABILITY: Our liability for indemnification for property damages and financial losses is limited to the value of the goods.


11 DEFECTS and CLAIMS: Any claims of the client presuppose that the client has taken all necessary obligations as required per the current pertaining law of the courts of England. Any claims once submitted should then be agreed and finalised with us and formal notification in writing within timescales as laid down by our claims procedure.
